Please read through the following and confirm your agreement with each statement by clicking “I accept the terms” below.
- What these Terms and Conditions Cover
- These Terms and Conditions govern this Submission and any other Submission and/or information provided by me to Eighteen94 Capital after I make this Submission.
- My Submission Is Not Confidential
- I am submitting to Eighteen94 Capital, LLC (together with its parent, subsidiaries and affiliates, together referred to as “Eighteen94 Capital”) non-confidential information for the purpose of have it evaluated by Eighteen94 Capital. This information may consist of business information, product ideas, designs, formulations, processes, know how, packaging, and/or other information (collectively referred to as the “Submission”).
- I am relying on my independent judgment, the advice of an attorney, or both in making this Submission.
- Eighteen94 Capital is free to use all or part of this Submission in its evaluation processes without violating my rights or owing me compensation.
- Eighteen94 Capital will not return anything contained in this Submission.
- Eighteen94 Capital Will Contact Me if Interested in My Submission
- Someone will contact me if Eighteen94 Capital is interested in my Submission, however, any discussions at that point will also be non-confidential.
- Eighteen94 Capital Is Not Obligated to Explain a Decision Not to Pursue My Submission
- I understand that I may not be contacted by anyone from Eighteen94 Capital after I make my Submission.
- Kellogg’s May Have Independently Developed My Idea
- Eighteen94 Capital and/or its affiliates maintain a robust global food and packaging research and development department dedicated to developing state-of-the-art technologies that may be directly related to information in this Submission. Eighteen94 Capital and/or its affiliates may have already independently developed information and/or concepts identical or similar to those contained in or suggested by this Submission. In addition, Eighteen94 Capital and/or its affiliates may have legitimately learned of such information or concepts through its network of suppliers and partners.
- I understand that Eighteen94 Capital and its affiliates are free to act on this independently developed or learned about information or concepts without owing me anything, even if the information or concepts are identical or similar to those contained in or suggested by this Submission.
- Eighteen94 Capital Does Not Owe Me Anything Based on this Submission
- By making this Submission, I have not created any legal relationship with Eighteen94 Capital or created any contractual rights or obligations vis-à-vis Eighteen94 Capital.
- Eighteen94 Capital is not obligated to pay me for this Submission.
- I understand that Eighteen94 Capital will not owe me anything unless both Eighteen94 Capital and I sign a valid written agreement.
- By making this Submission, I do not grant any intellectual property rights other than the limited rights necessary to allow Eighteen94 Capital to evaluate this Submission.
- In making this Submission, I am not relying upon Eighteen94 Capital for legal advice, including whether any aspect of the Submission is protectable under intellectual property law.
- I Have Authority to Make This Submission
- I am at least eighteen (18) years old and not legally incompetent.
- Nothing prohibits me from making this Submission.
- By making this Submission, I am not breaching any obligation owed to any other party.
- I am not an employee of Eighteen94 Capital, the Kellogg Company, or any of Eighteen94 Capital’s affiliates or partners.

- These Terms and Conditions, this website and this or any other Submission made pursuant to this website are governed by the laws of State of New York, USA without regard to any principle of conflict or choice of laws that would cause the application of the laws of any other jurisdiction.
